Setting Up a Company in Spain
The first decision is the structure: trade as autonomo, a self-employed registration with unlimited personal liability, or form an SL (sociedad limitada), a limited-liability company that separates business debt from personal assets. Forming an SL runs through a fixed sequence. A name certificate from the Registro Mercantil Central confirms the chosen company name is not already taken, the founders then sign the incorporation deed (escritura) before a notary, with a minimum share capital of 1 euro under Article 4 of the Ley de Sociedades de Capital as amended in 2022, and the notary files the deed with the Registro Mercantil to bring the company into existence. Hiring Staff and Investing in Spain
Hiring starts with registration, and which one depends on who is working. A founder trading as autonomo registers under RETA; hiring an employee registers that person under the Regimen General, on a contract Spanish employment law governs, with the company first registered as an employer with the Tesoreria General de la Seguridad Social.
